Terms of Service

These Terms govern your use of UprisePlugins, a subscription software product operated by Uprise Media ("we", "us", "Uprise"). By purchasing or using the plugin you agree to these Terms. If you do not agree, do not use the plugin.

1. The service

UprisePlugins is a suite of AI-powered tools that run as an Adobe Premiere Pro extension. It includes automated captioning (powered by speech-to-text models) and FX automation (powered by language models). We host the cloud APIs the plugin calls; the plugin itself runs locally inside Premiere Pro.

2. Subscription and payment

• The subscription costs ₱299 per month in Philippine Pesos, billed monthly in advance.
• Payment is processed by PayMongo. We accept Visa/Mastercard, GCash, Maya, and GrabPay.
• Card subscriptions renew automatically each month until cancelled. E-wallet subscribers receive a renewal payment link by email each cycle.
• You can cancel anytime from your account portal at plugins.uprisemedia.co/account. Your access continues until the end of the current billing period — no pro-rated refund is issued for the remainder of the month.

3. License

Your active subscription grants you a non-transferable, non-exclusive license to use the plugin for personal or commercial creative work. Specifically:

• You may activate the plugin on up to two (2) machines simultaneously under a single subscription.
• You may produce and monetize creative work made with the plugin.
• You may not redistribute, resell, sublicense, reverse-engineer, or attempt to extract the underlying models or keys.
• You may not share your license key with people outside your immediate use.
• If your subscription lapses or is cancelled, the plugin's licensed features stop working until you resubscribe.

5. Acceptable use

You agree not to use the plugin to:

• Process content that is illegal under Philippine law (e.g. child sexual abuse material, content that incites violence, infringes copyright you don't hold).
• Attempt to circumvent license enforcement, machine limits, or usage caps.
• Resell our cloud transcription or AI-FX capacity as part of a competing product.
• Submit content on behalf of third parties without their consent.

We may suspend or terminate accounts that violate these rules. Termination for cause does not entitle you to a refund.

6. Third-party AI services

The plugin sends audio for transcription to a third-party speech-to-text provider and text prompts for FX matching to a third-party AI language-model provider. These providers process your content under their own terms and privacy policies, summarised in our Privacy Policy. AI outputs are generated probabilistically and are not guaranteed to be accurate or fit for any particular purpose.

7. Intellectual property

We own the plugin code, the cloud APIs, and the UprisePlugins brand. You own the creative output you produce using the plugin (subject to any third-party rights in the source material you provide). Nothing in these Terms transfers ownership of either side's IP to the other.

8. No warranty

The plugin is provided "as is" and "as available." We make no warranty that it will be uninterrupted, error-free, or that AI outputs will be accurate. To the maximum extent permitted by law, we disclaim all implied warranties.

9. Limitation of liability

To the maximum extent permitted by Philippine law, our total liability to you for any claim arising from your use of the plugin is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits, lost data, or business interruption.

10. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from them shall be brought before the appropriate courts of Manila. You and we both agree to attempt good-faith resolution by email to support.uprisemedia@gmail.com before escalating.

11. Changes

We may update these Terms from time to time. Material changes will be announced to your account email at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.
